1.    Applicability

These terms of purchase apply to all orders made via www.profarma.se or any associated pages. When you place an order a purchase agreement is entered into between you as the Customer and EcoRub AB, org.nr 556438-0284, Hökmark 114, 932 93 Lövånger.

2.    Products

In our Webshop we sell horsemats, fodder hedges and similar products for horses and agriculture. 

3.    Orders

All orders are made via our webshop. We only sell to legal entities, and you must provide a company or personal registration number to make a purchase. A valid purchase agreement is entered when you confirm your purchase at the checkout. An automated order confirmation will then be sent to the email address you have provided in connection with your order. The order is binding as soon as you have received the manual order confirmation approved by our staff.

4.    Price and payment terms

The price for the Products purchased hereunder shall be the prices stated in the webshop at the time of order, expressed and payable in SEK. The cost of shipping is not included in the price and will be added at the checkout or manually by our staff.

EcoRub may change its price list from time to time without prior notice.  The current prices are always found on our webpage. Payment shall be made upon delivery against invoice with payment terms net 15 days.

In case of late payment EcoRub shall have the right to claim a late payment fee of 450 SEK and interest on the sum overdue in accordance with the Swedish Interest Act.

5.    Delivery

Estimated delivery time for each order will be stated in the manual order confirmation.

All products are delivered by our shipping partner Schenker to the delivery address stated in the order confirmation.

6.    Warranty

EcoRub offers a three (3) year functional warranty on all Profarma products.  This warranty only covers defects that have occurred during the correct use of the Products.  The warranty does not cover faults caused by inadequate maintenance, storage or incorrect installation. Nor does it cover normal wear and tear or deterioration.

7.    Complaints

Should you discover that the product is broken or defect upon delivery, so-called unpacking defects, this must be reported to our customer service within 2 days of receiving the item.

If you discover other problems or defects in the product, which are not unpacking defects, these must be invoked within a reasonable time, usually within ten (10) working days, after the defect has been discovered or should have been discovered.

Any defects must be able to be presented to and confirmed by us. Depending on the situation, you can be offered a new product or a reduction of the original price. No defect products shall be sent to EcoRub without our prior approval. In the first instance, pictures of the defect must be sent to our Customer Service. If it is necessary to return the product to our warehouse we will let you know.

We will pay for the return cost when a complaint has been accepted.

8.    Limitation of liability

EcoRub shall under no circumstances be liable for any loss of profit or any indirect, special or consequential loss or damage, costs, expenses or other claims (whether occasioned by the negligence of EcoRub or its employees or agents or otherwise) arising out of or in connection with the supply of the Products (including any delay in supplying or any failure to supply the Products in accordance with this agreement or at all) or their use by the Customer.  

The total liability of EcoRub for any other loss, damage, costs, expenses or other claims which so arise shall not exceed the price of the Products in question.

9.    Personal data

When you visit our webshop, place an order or contact our Customer Service EcoRub processes your personal data in accordance with our privacy policy. We ask that you read the privacy policy carefully so that you understand how EcoRub uses and processes your personal data.

10.    Force majeure

The following circumstances shall constitute grounds for relief if they impede the performance of the Agreement or makes performance unreasonably onerous: any circumstance beyond the control of the Parties that could not have reasonably been foreseen and prevented or mitigated by such Party, which may include accidents, riots, labor strikes, epidemic, pandemic, fire, war, mobilization or military call up of a comparable scope, requisition, seizure, trade and currency restrictions, insurrection and civil disorder, extreme weather conditions, shortage of transport, general shortage of materials, restrictions in the supply of power and defects or delays in deliveries by sub-contractors caused by any such circumstance as referred to in this Clause. 

The Party claiming Force Majeure must make reasonable efforts to prevent, avoid, delay, or mitigate the effect of such acts, events or occurrences, which cause the Party to fail to perform its obligations under this Agreement.  

Either party shall be entitled to permanently cancel any order which has been suspended for more than six (6) months by reason of any grounds for relief as described in this Clause.

12.    Amendments and additions

EcoRub reserves the right to change these terms from time to time. The up-to-date terms are always published on our website. 

13.    Governing Law and Dispute Resolution

Any dispute concerning the application or interpretation of these terms of purchase shall be finally settled by the Swedish general courts in accordance with Swedish law.
